For disputes involving parties whose primary location is outside of Nigeria and Canada, the parties may explore alternative dispute resolution methods that are mutually agreeable and appropriate for the relevant context, such as international arbitration under the rules of the International Chamber of Commerce (ICC). The costs of such alternative dispute resolution shall be shared equally by both parties, unless otherwise agreed.

For disputes involving parties whose primary location is within Nigeria, the parties agree to participate in mediation in Lagos or Abuja, under the rules of a reputable mediation service in Nigeria, such as the Lagos Multi-Door Courthouse or the Abuja Multi-Door Courthouse, as mutually agreed upon. The costs of mediation shall be shared equally by both parties. If mediation is unsuccessful, any unresolved dispute arising out of or relating to these Terms and Conditions, where the primary parties are located in Nigeria, shall be exclusively referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004 (or the prevailing arbitration law in Nigeria at the time). The place of arbitration shall be Lagos or Abuja. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties and enforceable in accordance with applicable laws.

For disputes involving parties whose primary location is within Canada, the parties agree to participate in mediation in the courts of the Canadian Province of Ontario or the federal Court of Canada having jurisdiction over Ontario. The service of any court papers may be effected by email, certified mail, overnight courier service, or in such other manner as may be provided under applicable laws or court rules in Ontario, Canada. Any unresolved dispute following mediation may be brought before the relevant courts in Ontario, Canada. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties and enforceable in accordance with applicable laws.

11.  Amendments to Terms

  1. Right to Modify: ENIFFC reserves the right to update these terms at any time.
  2. Notice: Changes will take effect immediately upon posting on the website.
